These Terms and Conditions ("Agreement") govern your access to and use of the Troxis website located at www.troxis.co (the "Site") and the services provided by Troxis ("Company," "we," "us," or "our"). By accessing the Site or engaging Troxis for any service, you ("Client," "you," or "your") agree to be bound by this Agreement in its entirety. If you do not agree to these Terms and Conditions, you must discontinue use of the Site and must not engage Troxis for any services.

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States.

Troxis reserves the right to update or modify these Terms and Conditions at any time. Changes will be effective upon posting to the Site with an updated effective date. Your continued use of the Site or services following any such update constitutes your acceptance of the revised terms.

Use of the Website

The Site and all content contained therein, including but not limited to text, graphics, logos, service descriptions, case studies, and downloadable materials, are the intellectual property of Troxis and are protected by applicable United States and international copyright, trademark, and intellectual property laws.

You are permitted to access and browse the Site for lawful purposes. You may not reproduce, distribute, modify, transmit, republish, display, or otherwise exploit any content from the Site without the prior written consent of Troxis. You may not use any content from this Site for commercial purposes without a formal licensing agreement.

You agree not to use the Site in any manner that could damage, disable, overburden, or impair our infrastructure, interfere with any other party's use of the Site, or attempt to gain unauthorized access to any system, data, or network connected to Troxis. Troxis reserves the right to terminate access to the Site at its sole discretion, without notice, for conduct that it determines violates these Terms and Conditions or is otherwise harmful to the Company, its clients, or any third party.

Partnership Models — Specific Terms

Project-Based Delivery

Project-Based Delivery engagements are governed by a Statement of Work that defines the project scope, deliverables, timeline, and fixed fee. Any changes to the agreed scope must be documented in a written Change Order signed by both parties prior to implementation. Troxis will not be obligated to perform work outside the agreed scope without a signed Change Order, and the Client will not be obligated to pay for such work unless a Change Order has been executed. Troxis will make reasonable efforts to deliver all work in accordance with the timelines set out in the Statement of Work, subject to the Client's timely provision of required inputs, approvals, and access.

Recruitment and Staff Augmentation

Recruitment and Staff Augmentation engagements involve the placement of pre-screened, technically assessed professionals within the Client's organization or project team on a temporary or contract basis. The Client acknowledges that augmented personnel remain employed or contracted by Troxis or its designated staffing entity and are not employees of the Client, unless otherwise agreed in a direct-hire arrangement.

The Client agrees not to directly solicit, recruit, or employ any Troxis-placed personnel during the term of the engagement and for a period of twelve (12) months following its conclusion, without the prior written consent of Troxis. A conversion fee may apply to any agreed direct hire of augmented personnel. The applicable fee will be set forth in the relevant engagement agreement.

Dedicated Teams

Dedicated Teams engagements involve the allocation of a defined team of Troxis engineers and specialists to the Client's product or programme on an ongoing, embedded basis. Dedicated Teams engagements are governed by a minimum commitment period as specified in the engagement agreement, following which either party may terminate upon providing the notice period set forth therein. The Client acknowledges that Troxis retains full employment responsibility for all Dedicated Team personnel and that such personnel remain subject to Troxis's employment policies, codes of conduct, and performance management processes.
